Terms of Service

2. Eligibility and accounts

• You must be at least 16 years old (or the age of digital consent in your country) to use Chaz. To hire or book services, you must be 18 or older.
• You are responsible for the accuracy of your account information and for safeguarding your credentials. You must notify us promptly at support@chazcanhelp.com if you suspect unauthorized access.
• If you register on behalf of a company, you represent that you have authority to bind that company to these Terms.

3. What Chaz is — and isn't

Chaz is a marketplace and coordination platform. We connect customers with independent service professionals and help manage communication, scheduling, and payment for those services. We are not the employer, agent, or joint venturer of service professionals on the platform. Professionals are independent contractors or their own businesses.

Chaz does not itself perform any physical services, nor does Chaz guarantee the quality, safety, legality, timing, or availability of any service listed or arranged through the platform. Customers and professionals are solely responsible for the work performed and any disputes arising from it, though we offer mediation and support where practical.

4. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent, harassing, abusive, or discriminatory purpose;
• Post content that infringes intellectual property, privacy, or publicity rights;
• Solicit payments outside the Chaz payment flow in order to avoid fees owed to Chaz;
• Probe, scan, test, or attempt to circumvent the security of the Services or any related systems;
• Use automated tools to scrape, harvest, or bulk-extract data from the Services other than via documented public APIs;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5. Payments and fees

• Payments on Chaz are processed by Stripe, Inc. You authorize us and Stripe to charge your selected payment method for the amounts you agree to.
• For customer-facing invoices sent by SMS or email, you can review the full amount, line items, and professional details before paying. Paying the invoice is your authorization for the charge.
• Chaz may collect a service fee or processing fee. Any such fee will be disclosed at the point of purchase.
• Refunds and disputes. Refund handling is a matter between the customer and the professional. Chaz provides dispute-resolution support and may, at its discretion, issue a refund or reversal where warranted.
• Professionals are responsible for their own taxes and business registrations. Chaz does not withhold or remit taxes on professionals' behalf.

6. Messaging, SMS, and push notifications

By using the Services you consent to receive transactional messages from Chaz, including in-app messages, push notifications, SMS, and email, that are necessary to operate the Services (e.g. a new message in a channel, a payment request, a scheduled visit reminder). Message and data rates may apply. You can opt out of SMS by replying STOP to any message, and opt out of push notifications in your device settings.

7. User content

You retain ownership of content you post to Chaz (messages, attachments, reviews, profile content). You grant Chaz a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and transmit your content solely as needed to operate, improve, and secure the Services. You are responsible for your content and warrant that you have the rights needed to post it.

8. Intellectual property

The Chaz name, logo, website, mobile apps, and software are owned by Zincan LLC and are protected by U.S. and international intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works of the Services.

9. Third-party services

The Services may interoperate with third parties (Stripe, AWS, Sentry, Expo, Twilio, Anthropic, and others). Your use of those services is subject to their own terms, and Chaz is not responsible for their acts or omissions.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Chaz does not warrant that the Services will be uninterrupted, timely, secure, or error-free, nor that any content or communications will be accurate or reliable.

11. Limitation of liability

To the maximum extent permitted by law, Chaz, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) unauthorized access, use, or alteration of your transmissions or content.

In no event will Chaz's aggregate liability exceed the greater of (i) one hundred U.S. dollars ($100) or (ii) the amount you paid to Chaz in the twelve months preceding the claim.

12. Indemnification

You will indemnify and hold harmless Chaz and its affiliates from any claim or demand, including reasonable attorneys' fees, arising from your use of the Services, your content, your violation of these Terms, or your violation of the rights of another.

13. Termination

You may stop using the Services at any time and may delete your account in the app. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. Sections that by their nature should survive termination will do so.

14. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-laws rules. Except where prohibited by applicable consumer law, any dispute arising out of these Terms or the Services will be resolved in the state or federal courts located in Wake County, North Carolina, and you consent to personal jurisdiction there.

15. Changes

We may update these Terms from time to time. We will revise the "Last updated" date at the top, and for material changes give you prominent notice. Your continued use of the Services after an update constitutes your acceptance of the revised Terms.
